These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LogicForm ("Company," "we," "us," or "our") regarding your use of our survey and form creation platform ("Service"). By accessing, using, or registering for our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service. These Terms apply to all users, including survey creators, respondents, team members, and visitors to our platform. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
LogicForm provides an online platform that enables users to create, distribute, and manage surveys, forms, and questionnaires. Our Service includes: (a) survey creation and customization tools; (b) data collection and response management; (c) analytics and reporting features; (d) team collaboration capabilities; (e) AI-powered categorization and insights; (f) file upload and media management; (g) subscription-based access to premium features; (h) integration with third-party services; (i) API access for developers. We reserve the right to modify, suspend, or discontinue any aspect of our Service at any time without notice or liability.
3. User Accounts and Registration
To access certain features of our Service, you must create an account by providing accurate, current, and complete information. You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activities that occur under your account; (c) ensuring your account information remains accurate and up-to-date; (d) notifying us immediately of any unauthorized use of your account; (e) choosing a strong password and keeping it secure. You may not create multiple accounts or share your account with others. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity. You must be at least 13 years old (or 16 in the EU) to create an account.
4. Acceptable Use Policy
You agree to use our Service only for lawful purposes and in accordance with these Terms. You are prohibited from: (a) violating any applicable laws or regulations; (b) infringing on intellectual property rights of others; (c) transmitting harmful, threatening, abusive, defamatory, or offensive content; (d) collecting personal information without proper consent; (e) attempting to gain unauthorized access to our systems; (f) interfering with or disrupting our Service; (g) using automated systems to access our Service without permission; (h) creating surveys for illegal, harmful, or malicious purposes; (i) spamming or sending unsolicited communications; (j) impersonating others or providing false information; (k) reverse engineering or attempting to extract source code; (l) using our Service to compete with us or for commercial purposes without authorization.
5. User Content and Intellectual Property
You retain ownership of content you create, upload, or submit through our Service ("User Content"). By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing our Service. You represent and warrant that: (a) you own or have the right to use all User Content; (b) your User Content does not infringe on third-party rights; (c) your User Content complies with applicable laws; (d) you have obtained necessary permissions for any third-party content. We reserve the right to remove User Content that violates these Terms or applicable laws. We own all rights, title, and interest in our Service, including software, trademarks, and proprietary technology.
6. Survey and Data Collection
When creating surveys, you are responsible for: (a) ensuring compliance with applicable data protection laws (GDPR, CCPA, etc.); (b) obtaining proper consent from survey respondents; (c) providing clear privacy notices; (d) handling respondent data appropriately; (e) respecting respondent privacy rights; (f) not collecting sensitive personal information without justification; (g) implementing appropriate security measures; (h) responding to data subject requests. You acknowledge that we are not responsible for your compliance with data protection laws or your handling of survey responses. We may suspend or terminate accounts that violate data protection requirements.
7. Subscription Plans and Payment
Our Service offers various subscription plans with different features and limitations. By subscribing, you agree to: (a) pay all applicable fees in advance; (b) automatic renewal unless cancelled; (c) price changes with 30 days notice; (d) no refunds except as required by law; (e) immediate suspension for payment failures; (f) responsibility for all taxes and fees. Subscription fees are processed through LemonSqueezy, and you are subject to their terms as well. We reserve the right to modify pricing, features, or plan limitations at any time. Free plans may have usage limits and feature restrictions. Enterprise plans may have custom terms and pricing.
8. Service Availability and Performance
We strive to maintain high service availability but cannot guarantee uninterrupted access. Our Service may be temporarily unavailable due to: (a) scheduled maintenance; (b) system updates; (c) technical difficulties; (d) force majeure events; (e) third-party service outages; (f) security incidents. We do not warrant that our Service will be error-free, secure, or continuously available. We reserve the right to modify, suspend, or discontinue any part of our Service at any time without notice. You acknowledge that temporary service interruptions are normal and expected in online services.
9. Data Security and Privacy
We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that: (a) no internet transmission is completely secure; (b) we are not liable for data breaches or security incidents; (c) you should maintain your own data backups; (d) we may access your data to provide support or comply with legal obligations; (e) data may be stored in various locations worldwide; (f) we may use third-party services that have their own security measures. Our Privacy Policy governs data collection and use. You are responsible for implementing appropriate security measures for your surveys and data.
10. Third-Party Services and Integrations
Our Service may integrate with third-party services, including payment processors, cloud storage, analytics providers, and other tools. These integrations are provided "as is" and we are not responsible for: (a) third-party service availability or performance; (b) third-party terms of service or privacy policies; (c) data handling by third parties; (d) security of third-party services; (e) changes to third-party APIs or services; (f) costs or fees charged by third parties. You use third-party integrations at your own risk and are subject to their respective terms and conditions.
11. API Usage and Developer Terms
If you use our API, you agree to: (a) comply with rate limits and usage guidelines; (b) not abuse or overload our systems; (c) respect intellectual property rights; (d) not create competing services; (e) provide accurate developer information; (f) maintain API key security; (g) comply with all applicable laws; (h) not reverse engineer our API. We reserve the right to revoke API access for violations. API usage may be subject to additional terms and restrictions. We may modify or discontinue API features at any time without notice.
12. Termination and Account Closure
Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you: (a) violate these Terms; (b) engage in fraudulent activity; (c) fail to pay required fees; (d) abuse our Service; (e) violate applicable laws; (f) pose a security risk. Upon termination: (a) your right to use our Service ceases immediately; (b) we may delete your data after a reasonable period; (c) you remain liable for all outstanding fees; (d) certain provisions survive termination. You may export your data before termination, subject to technical limitations. We are not obligated to retain your data after termination.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM: (a) USE OR INABILITY TO USE OUR SERVICE; (b) DATA LOSS, CORRUPTION, OR UNAVAILABILITY; (c) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; (d) THIRD-PARTY ACTIONS OR OMISSIONS; (e) SERVICE INTERRUPTIONS OR DOWNTIME; (f) SECURITY BREACHES OR CYBER ATTACKS; (g) LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES; (h) ANY OTHER MATTER RELATING TO OUR SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIABILITY LIMITATIONS, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless LogicForm, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your User Content; (e) your surveys or data collection practices; (f) your violation of applicable laws or regulations; (g) your negligence or willful misconduct; (h) any third-party claims related to your use of our Service. This indemnification obligation will survive termination of these Terms and your use of our Service.
15. Disclaimers and Warranties
OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: (a) MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE; (b) NON-INFRINGEMENT OF THIRD-PARTY RIGHTS; (c) UNINTERRUPTED OR ERROR-FREE OPERATION; (d) SECURITY OR PRIVACY OF DATA; (e) ACCURACY OR RELIABILITY OF RESULTS; (f) COMPATIBILITY WITH YOUR SYSTEMS; (g) AVAILABILITY OF THIRD-PARTY SERVICES. WE DO NOT WARRANT THAT OUR SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE AT ALL TIMES. YOU USE OUR SERVICE AT YOUR OWN RISK AND DISCRETION.
16. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet outages, cyber attacks, power failures, equipment malfunctions, third-party service failures, or other causes beyond our control. In such events, we will use reasonable efforts to minimize the impact and restore normal operations as soon as possible. This provision does not excuse payment obligations or other duties that can be performed despite such events.
17. Changes to Terms
We may modify these Terms at any time by posting updated terms on our website or through other reasonable means. Material changes will be communicated with at least 30 days notice. Your continued use of our Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our Service and may terminate your account. We encourage you to review these Terms periodically to stay informed of any updates. The date of the last update will be indicated at the top of these Terms.
18. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative. These Terms may not be modified except in writing and signed by both parties, except as provided in the Changes to Terms section.
